NOTICE INVITING PROPOSAL

Proposals are invited from eligible Chartered Accountant Firms to be appointed as Internal
Auditors of Assam Cancer Care Foundation (ACCF), Guwahati vide a service contract with specific
terms and conditions. The contract shall be initially for a period of two years, which may be
renewed for another year subject to satisfactory performance of the Firm and with the mutual
consent of both the parties.

The proposals (both technical and financial) by eligible Chartered Accountant Firms shall reach
the Office of the undersigned within due date and time (i.e. October 20, 2019 at 4:00 P.M.) in
the prescribed format and manner. Proposals received after due date and time shall be rejected.
There is no system of receipt of proposal through drop box or by hand. Proposals shall be received
only through registered post/ speed post/ courier service.

INTRODUCTION
1.1. About ACCF
1.1.1 Tata Trusts have signed MoU with Government of Assam ("GoA") to optimally plan, design
and implement a distributed hierarchy of cancer care facilities. The distributed care model
was conceptualized by the Trusts and the Government of Assam to create patient-centric
cancer institutions to deliver standardized and affordable care closer to patients' homes
(hereinafter referred to as "Programme"). The F foundation is expected to benefit 50% of
cancer patients in Assam by 2021. Currently, one apex hospital handles a cancer patient's
journey end-to-end. Smaller centers in different regions, interlinked with the apex
centers, are proposed to be set up to handle diagnosis and care, and to shift load away
from apex hospitals. This will bring high-quality cancer care closer home for patients and
reduce their financial burden. Infrastructure development is being supplemented with
plans to develop trained human resources, awareness and prevention programmes, and
a unified technology platform to deliver high-quality care.
1.1.2 The Programme is being implemented through a special purpose vehicle called Assam
Cancer Care Foundation ("ACCF"). ACCF is a company registered under Companies Act,
2013 with license under section 8(1) of the Act. The registered office is situated in
Guwahati, Assam. Assam Cancer Care Foundation is a joint partnership between the
Government of Assam and Tata Trusts. It was set up in December 2017 to create a first-
of-its-kind, three-level cancer grid in the state.
1.1.3 Currently, the project is in the construction phase (pre-operational) and shall be
operational in a phased manner during next two years i.e. by end of 2021. During this
period the major activities would be civil construction and procurement of equipment and
other goods for setting up of entire project infrastructure (hospitals), screening and
awareness programmes etc. ready for operation.
1.2 About this RFP
1.2.1. ACCF is issuing this RFP for inviting proposals from eligible Audit Firms (Chartered
Accountants' Firm) to participate in the bid for evaluation and selection of an Internal
Auditor for two financial years starting from 2019-20 with scope of an extension for
another year.
1.2.2. Details Terms of Reference is given under Para 2.
2. Terms of Reference (TOR)
2.1. Eligibility Criteria
2.1.1. The interested Applicants (Audit Firms) shall have to comply with the following criteria to
participate in the tendering process:
a) Must have either its registered office or branch office in Guwahati for at least 1 year
as on the due date of submission of Proposal. (Self-Attested copy of Registration
Certificate issued by Institute of Chartered Accountants of India to be furnished.)
b) Must be registered with the Institute of Chartered Accountants of India for not less
than 10 years as on the last date of submission of this RFP. (Self- Attested copy of
Registration Certificate issued by Institute of Chartered Accountants of India to be
furnished.)
c) The firm must be empanelled with Comptroller & Auditor General of India. (Self-
Attested copy of latest Comptroller & Auditor General of India Empanelment Letter
to be furnished.)
d) Must be having minimum three FCA partners as on 1st January, 2019 (Self- Attested
copy of latest Constitution Certificate from Institute of Chartered Accountants of
India to be furnished.)
f) Must have been awarded Concurrent Audit and / or Internal Audit assignment of at
least two Public Sector Undertakings during last 3 financial years i.e. 2016-17 to 2018-
19. (Self-Attested copies of Appointment Letters/ Agreements/ Work Orders issued
by such PSUs along with proof of claim to be furnished).
g) Must be registered under GST. (Self-Attested GST Registration Certificate to be
furnished.)
h) Must be having minimum Average Annual Turnover of Rs. 50.00 lakh Rs. 100 Lakh
during the last 3 Financial Years i.e. 2016-17, 2017-18 & 2018-19. (Self-Attested
copies of Audited Profit & Loss Accounts and Balance Sheets to be attached.
Provisional Profit & Loss Accounts and Balance Sheets will not be considered.)
2.2 Scope of Work
2.2.1. Review of Internal Control and Risk Management System:
a) Independently review and appraise the systems of control throughout the year (not
just the financial controls);
b) Recommend improvements to internal controls;
c) ascertain the extent of compliance with respect to prescribed procedures, policies,
regulations, statutory obligations and other legislations;
d) Provide reassurance to management that their policies are being carried out with
adequate control of the associated risks;
e) facilitate good practice in managing risks effectively;
f) Ensure that assets and interests are safeguarded from fraud, deter fraudsters and
possibly identify fraud including but not limited to treasury and banking matters.
g) Provide necessary guidance for development of proper accounting system,
maintenance of essential books of accounts and preparation, presentation &
finalization of accounts in accordance with the provision of Companies Act, 2013 so
as to avoid any qualification by the Statutory Auditors.
h) Conduct risk-based audit and report the management on quarterly basis the
inefficient and weak areas, deficiency in internal control system with suggestion for
remedial measures.
i) Report on financial impropriety and irregularities and system inadequacies that lead
to such impropriety/ irregularity with suggestion of measures for improvement of
the system on quarterly basis.
j) Report on the Company's EDP & IT system related to accounting aspects, with
special emphasis on their adequacy and security aspects.
k) Review of accounting system at the construction sites and accounting of capital
assets created or procured.
l) 100% vouching of transactions on regular basis.
m) Report on any other matter of significance.
n) Review and provide feedback on procurement made of goods or services or both.
2.2.2. Responsibilities of the Internal Auditor
a) Engage a minimum of two member audit team with relevant experience and
qualification to be supervised directly by a qualified CA having minimum 5 years of
post-qualification experience with knowledge in public sector audit. The audit team
members shall have minimum qualification of CA/ICWA (Intermediate). The team
shall verify financial transactions and statutory compliances besides examining
other aspects on day to day basis.
b) Ensure proper conduct of the deployed personnel in the office premises and enforce
prohibition of consumption of alcoholic drinks, smoking, loitering without work, etc.
c) The personnel deployed should be polite, cordial and efficient and their actions
should promote goodwill and uphold the image of ACCF. The Firm shall be
responsible for any act of indiscipline on the part of the persons deployed.
d) The Internal Audit team should be present in ACCF office at least 7 (Seven) working
days in a month to carry out the audit assignment.
e) Shall submit their observations on weekly basis to ACCF and ensure necessary
compliance along with rectification / correction, if any, by ACCF within two days of
receipt of audit observations.
2.4 Responsibilities of the Client (ACCF)
2.4.2. The responsibilities of the Client shall include:
a) Provide suitable place for sitting for the deployed persons.
b) Co-operate with the deployed persons for smooth conduct of the assignments.
2.5 Timeline:
2.5.1 The auditor should submit internal audit reports as per the following timelines:

For F.Y 2019-20, QI and QII reports are to be submitted on or before 31.12.2019.
2.6 Payment & Price Validity
2.6.1 The Firm shall be paid on quarterly basis an amount equal to 1/4th of annual audit fees
quoted by the Firm, as agreed by ACCF on submission of quarterly audit reports along
with bills and attendance sheets.
2.6.2 The price as quoted by the Firm (as per Annexure 2) shall remain unchanged during the
contract period.
2.6.3. GST, as applicable, shall be paid at the applicable rate.
2.7 Period of Engagement
2.7.1 The engagement shall be initially for a period of two years i.e. F.Y. 2019-20 & F.Y. 2020-21.
2.7.2 The contract may be renewed for another year subject to satisfactory performance of the
firm and with the mutual consent of both the parties.
2.7.3 The agency shall sign the contract (Format given in Annexure 4) and start providing services
(actual engagement of personnel) within 21 days of issue of Letter of Award/ Intimation.
2.8 Termination or Suspension
2.8.1 The contract can be terminated at any time prior to its completion by either Party with 60
days of notice period.
2.8.2 ACCF may, by a notice in writing suspend the agreement if the Firm fails to perform any
of its obligations including carrying out the audit work, provided that such notice of
suspension:
(i) Shall specify the nature of failure, and
(ii) Shall request remedy of such failure within a period not exceeding 15 days after
the receipt of such notice.
2.8.3. ACCF after giving 30 days clear notice in writing expressing the intention of termination
by stating the ground/ grounds on the happening of any of the events (i) to (iv) below,
may terminate the agreement after giving reasonable opportunity of being heard to the
firm:
(i) If the firm does not remedy a failure in the performance of its obligations within
15 days of receipt of notice or within such further period as the Management
(ACCF) have subsequently approved in writing.
(ii) If the firm becomes insolvent or bankrupt.
(iii) If, as a result of force majeure, the firm is unable to perform a material portion
of the services in a period of not less than 60 days: or
(iv) If, in the judgment of the Management of ACCF, the firm is engaged in corrupt
or fraudulent practices in course of providing the service.
(v) If the Firm is disqualified, debarred or blacklisted from undertaking /conducting
any audit by any competent agency or in case if the Firm is indicted or convicted
by any Court or in case of any pendency of an investigation by any regulatory
agency.
3. Instructions to Bidders
3.1. Submission of the Proposal
3.1.1. The proposal shall be submitted in a sealed envelope with clear inscription as "PROPOSAL
FOR APPOINTMENT AS INTERNAL AUDITOR OF ASSAM CANCER CARE FOUNDATION,
GUWAHATI, RFP REFERENCE NO. ACCF/FINANCE/AUDITORS/19-20/01" on top of it
before due date and time.
3.1.2. The Proposal shall be in two parts i.e. Cover-A and Cover-B. "Cover-A" shall contain the
Technical Proposal and "Cover-B" shall contain the Financial Proposal.
3.1.3 Technical and Financial Proposal shall be submitted separately in sealed covers with clear
inscription as "TECHNICAL / FINANCIAL PROPOSAL; RFP REFERENCE NO.
ACCF/FINANCE/AUDITORS/19-20/01" on top of respective covers and both the sealed
envelopes shall be sealed in a third envelop with required inscription on it as mentioned
in Clause (a) above.
3.1.4. Any material omission in the proposal shall make the proposal unacceptable at the
discretion of the management and the bid will be liable to be rejected.
3.1.5. The Proposal shall remain valid for a period not less than 120 days after the last date of
submission of RFP.
3.1.6. Multiple Applications submitted by a single Firm shall be a ground for disqualification .
3.2. Contents of the Proposal
3.2.1 The technical proposal in addition to proof of eligibility shall contain:
(i) All the information, documents and clarifications as required under Annexure 1 &
ToR.
(ii) Copy of the RFP Document signed on every page by the duly authorized Signatory.
(iii) Authorization Certificate issued by the firm for the Signatory signing the
Documents submitted to ACCF for this Tender.
3.2.2. The Financial Proposal shall be submitted in the format given in Annexure 2.
3.3 Evaluation and Selection
3.3.1. The proposals shall be evaluated in two stages i.e. technical evaluation and financial
evaluation.
3.3.2. The Financial Proposals shall be opened of those Firms who will qualify in the technical
evaluation.
3.3.3. The qualifying score in technical evaluation for the financial opening is 70 75 out of total
score of 100. Format for evaluation is given in Annexure 3.
3.3.4. Financial Proposals shall be opened in the presence of the technically qualified firms'
representatives, who choose to attend in person at the address given below Assam
Cancer Care Foundation, 3rd Floor, V. K. Tower, G.S. Road, Guwahati 781022. Date of
Opening of Financial Proposals shall be communicated to the technically qualified firms.
3.3.5. For financial evaluation, Price excluding Tax shall be taken into consideration.
3.4. Award of Contract
3.4.1. Contract shall be awarded to the firm whose evaluated bid price will be the lowest.
3.4.2. In case two or more technically qualified firms quote the same lowest price, the firm with
the higher mark in the technical bid shall be awarded the contract.
3.4.3. In case two or more technically qualified firms having same technical scores quote the
same lowest price, the firm having the highest average annual turnover in last 3 Financial
Years i.e. 2016- 17, 2017-18 & 2018-19 among the lowest bidders shall be awarded the
contract.
3.4.4. Any effort by a firm to influence ACCF in its decision on bid evaluation or award of
assignment will may result in rejection of the firm's offer.
3.4.5. Any legal dispute arising out of this is subject to Guwahati jurisdiction only.
3.5 Special Conditions of Contract
3.5.1 ACCF may advise the firm to disengage any of its staff from service, with 24 hours prior
intimation, in case the management of ACCF finds found any negligence on the part of
that particular staff.
3.5.2 The firm shall be totally responsible for the conduct of the personnel engaged for the
service and the management shall not be responsible for their conduct at any point of
time.
3.5.3. In case of any damage/ pilferage caused to the property of ACCF due to mishandling,
carelessness of the firm's personnel, the same shall be recovered from the firm adjusting
the amount against their bill.
3.5.4 The persons deployed shall, during the course of their work, will have access to classified
documents, which they are not supposed to divulge to third parties. Any breach of this
condition shall make the firm liable for penal action under the applicable laws besides
action for breach of contract.
3.5.5. The Management shall provide suitable place for sitting for the deployed persons.
3.5.6. The firm shall also be liable for depositing all taxes, levies, cess, etc. on account of service
rendered to ACCF with the concerned tax collection authorities, from time to time, as per
the applicable rules and regulations. The firm shall have the responsibility to furnish
documentary evidence in support of the statutory compliance to ACCF, as and when
sought for.
3.5.7. The Tax Deducted at Source (TDS) shall be done as per the provisions under Income Tax
Act, 1961 and ACCF shall provide TDS certificate to the Firm.
3.5.8 In case of non-performance, part performance or non-adherence of the statutory
obligations due to negligence on part of the Firm, penalty would be imposed by the ACCF
proportionate to the extent of default/ non-compliance.
3.5.9. ACCF shall not be responsible for any financial loss or any injury to any person deployed
by the Firm in the course of their performing the functions/duties, or for payment towards
any compensation.
3.5.10. The Firm shall provide a suitable substitute well in advance if there is any probability of
the person leaving and/or not being available for the job due to his/ her own personal
reasons. The payment in respect of the overlapping period of the substitute shall be the
responsibility of the Firm.
3.5.11 This engagement is on a principal to principal basis and the person(s) deputed by the Firm
shall not at any time be deemed to be employee(s) of ACCF.
